1. Definitions

“Company” refers to DB Waterproofing & Joint Sealant (Pty) Ltd.
“Client” refers to any individual, business, or entity engaging our services.
“Services” refers to waterproofing, joint sealing, or any related works carried out by the Company.

2. Quotations & Pricing

All quotations are valid for 30 days from the date of issue unless otherwise stated.
Prices are based on information provided at the time of quotation. Any changes to project scope may result in additional charges.
VAT (if applicable) will be added to all invoices.

3. Payments

A deposit may be required before work commences, with balance payable upon completion, unless otherwise agreed in writing.
Payment terms are strictly [e.g., 30 days from invoice date]. Late payments may incur interest at the prevailing legal rate.
The Company reserves the right to suspend work if payments are not made as agreed.

4. Scheduling & Delays

Project timelines are estimates and subject to weather conditions, availability of materials, site access, and other factors beyond the Company’s control.
The Company will not be held liable for delays caused by factors outside of its reasonable control.

5. Health & Safety

All work will be performed in compliance with the Occupational Health and Safety Act (Act 85 of 1993).
Clients must ensure the site is safe and accessible for our team to carry out work.

6. Warranty & Liability

DB Waterproofing & Joint Sealant provides warranties on certain services and materials as outlined in specific contracts.
The warranty does not cover damage caused by:
Poor maintenance or misuse by the Client.
Alterations made by third parties after completion.
Acts of God (e.g., floods, earthquakes).
Liability is limited to the value of the contract and excludes indirect or consequential losses.

7. Compliance

The Company is in good standing and fully compliant with **SARS, BIBC, FEM, ASAQS, and B-BBEE Level 2 requirements**.
All employees and subcontractors are certified and comply with health & safety regulations.

8. Insurance

The Company holds Public Liability Insurance and other relevant trade insurances.
Proof of insurance can be provided upon request.

9. Termination of Services

Either party may terminate the agreement with written notice if the other party materially breaches these Terms & Conditions.
In the event of termination, the Client will be invoiced for work completed up to the date of termination.

10. Governing Law

These Terms & Conditions shall be governed by the laws of the Republic of South Africa.
Any disputes shall be resolved in the jurisdiction of the relevant South African courts.
